Useful information

For private enterprise registration:
1. Passports (pages 1, 2, registration) and identification codes xerocopies of founder, manager and accountant.
2. Sales contract, lodgment lease contract. For founder’s apartment – property right certificate or form number 3 from HWO (house-working office).

For limited liability company registration (LLC):
1. Passports (pages 1, 2, registration) and identification codes xerocopies of founders, manager and accountant.
2. Sales contract, lodgment lease contract. For one of founders’ apartment - property right certificate and/or form number 3 from HWO.
3. List of property with indication of producer’s enterprise, mark and production number of each product (during property formation of statute fund).
4. Notarized copies of constituent documents (statute, constituent contract), notarized copy of state registration certificate of enterprise activity subject, notarized copy of entry certificate into ESEORU (exclusive state enterprise and organizational register of Ukraine) (statistic certificate), copy of registration certificate for STI (state tax inspection) (form 4 – TPR – taxpayers’ registration), attested by issue body, issue term is no more than 1 month (when one of the founders is legal person of Ukraine).
5. Extract of trade, bank and court register, translated into Ukrainian and legalized in consular office of Ukraine (when one of the founders is foreign legal person).
6. Decision of limited liability company creation on the territory of Ukraine, translated into Ukrainian and legalized in consular office of Ukraine (when one of the founders is foreign legal person).
7. Power of attorney (with the right to transfer attorney power once more) for Founder’s representation during registration, translated into Ukrainian and legalized in consular office of Ukraine (when one of the founders is foreign legal person).

For corrective actions in constituent documents:
1. Originals of constituent documents (statute, constituent contract), original of state registration certificate of enterprise activity subject, original of entry certificate into ESEORU (statistic certificate), original of registration certificate for STI (form 4 – TPR).
2. During enterprise location changing new sales and lodgment lease contract are necessary.
3. When founders are changing, passport and identification codes copies of previous and new founders are necessary.

For foreign representation registration:
1. Application for registration on a letterhead of a company signed by Head of a company and with seal affixed. Form is free. Application has to contain:
- name of a company;
- address of a company;
- telephone and fax numbers;
- name of a city, in which a representation is established, and future address of a representation;
- if subsidiaries are envisaged, please name cities of their location;
- number of foreign employees in a representation;
- date of establishment of a company; name of a bank and number of account;
- field of activities of a company;
- purpose of establishment and field of activities of a representation (representation activities only), information on business relations with Ukrainian partners and prospects of cooperation development.
Original of application with a signature of Head of a company attested by notary is submitted.
2. Extract from Trade Register of a country of location of an officially registered central management body (office) of a foreign business entity is attested by notary.
3. Certificate of a bank, in which account of a company is opened, containing the number of account.
Original of certificate of a bank is submitted. Signature of a bank employee, which issued certificate is attested by notary.
4. Warrant in the name of concrete person for execution of representative functions in the territory of Ukraine, listing authorities of a representative.
Original of warrant with signature of Head of a company attested by notary is submitted.
Originals of documents listed in Paragraphs 1, 2, 3, 4 have to be duly legalized in consular offices, representing interests of Ukraine.

The documents have to be translated into the Ukrainian language. Translation is attested by a seal of an official translator only.
The documents have to be submitted to Ministry of Economy and European Integration of Ukraine no later than 6 months after their issuing in a country of location of a company.
Under acceptance of documents for registration, an applicant is given the number of account for payment of registration fee, amounting to 2,500 USD.
 

For job placement permit for foreign citizen:
1. Notarized copies of constituent documents (statute, constituent contract), notarized copy of state registration certificate of enterprise activity subject, notarized copy of entry certificate into ESEORU (statistic certificate).
2. Founder’s decision of manager’s appointment (for private enterprise) or minutes of founders’ general meetings about manager appointment (for limited liability company).
3. Certificate from STI – of taxpayer’s registration (form 4 – TPR), issue term is no more than 1 month.
4. Certificate from STI – to the effect that there are no debts to budget (form 10 – TPR); issue term is no more than 1 month.
5. List of foreigners who work at particular enterprise with mentioned full name and surname, date, passport data and specialty.
6. Passport copy of foreign citizen.
7. Copy of foreign citizen’s education and qualification documents.

For registration of mass media printing:
1. Notarized copy of statute.
2. Notarized copy of constituent contract.
3. Notarized copy of state registration certificate of enterprise activity subject.
4. Notarized copy of entry certificate into ESEORU (statistic certificate).

For registration of goods and services marks (trademarks):
1. Notarized copy of statute.
2. Notarized copy of constituent contract.
3. Notarized copy of state registration certificate of enterprise activity subject.
4. Notarized copy of entry certificate into ESEORU (statistic certificate).
5. Mark description (if mark is black and white in 5 copies, color – in 10 copies).
6. List of goods and services combined according to International classification of goods and services for marks registration (ICGS) for which applicant asks to register mark.
7. Application of priority referring to filing date and previous application number entered into appropriate state body – member of Paris convention; copy of previous application attested by mentioned body (when applicant wants to use the convention priority right according to Paris convention of industrial property protection). Document which confirms exhibit (goods) display, branded by mentioned mark at displays (when applicant wants to exercise the right of mark priority used at exhibit, demonstrated at official or officially recognized international displays conducted on the territory of Paris convention member-state of industrial property protection).

In order to receive rendering of services license in the tourism
field:
1. Notarized copies of constituent documents (statute, constituent contract), notarized copy of state registration certificate of enterprise activity subject, notarized copy of entry certificate into ESEORU (statistic certificate), it is necessary to have code in statistic certificate mentioned by CEAC (Classification of economic activity categories): 91.62.0 – tourism.
2. Commission, copy of high-school diploma, extract from work record card with record of service no less than 3 years in tourist field.
3. Contract copy with insurance company of Bank (Guarantor) liability insurance.
4. Contract copy with Bank (Guarantor) of duties performance bank guarantee administration.
5. Sales and lease contract, notarized copy of lodgment property right certificate.

For license receipt to sell tobacco goods by retail:
1. Notarized copy of state registration certificate of enterprise activity subject.
2. Notarized copy of entry certificate into ESEORU (statistic certificate).
3. Copy of registration certificate for STI (form 4 – TPR) attested by issue body, issue term is no more than 1 month.
4. Notarized copy of business and storage rooms lease contract with addresses and areas indication signed by manager and accountant.
5. License of local executive power for tobacco trade location, issue term is no more than 1 month.
6. Notarized document copy of clearing transactions recorders’ registration (CTR).
7. Certificate from STI of storing places registration of tobacco wholesale parties (in the presence of storing places for tobacco goods unconnected with retail network objects).
8. Notarized certificates copies of appropriate sanitary and fire-prevention room state; issue term is no more than 1 month.
9. Certificate from STI - to the effect that there are no debts to budget (form 10 – TPR); issue term is no more than 1 month.

For license receipt to sell alcoholic beverages by whole-sale:
1. Notarized copy of state registration certificate of enterprise activity subject.
2. Notarized copy of entry certificate into ESEORU (statistic certificate).
3. Copy of registration certificate for STI (form 4 – TPR) attested by issue body, issue term is no more than 1 month.
4. Notarized copy of storage rooms lease contract.
5. Certificate from STI of storing places registration of strong drinks wholesale parties.
6. Certificate from STI - to the effect that there are no debts to budget (form 10 – TPR); issue term is no more than 1 month.

For license receipt to sell alcoholic beverages by retail:
1. Notarized copy of state registration certificate of enterprise activity subject.
3. Notarized copy of entry certificate into ESEORU (statistic certificate).
4. Copy of registration certificate for STI (form 4 – TPR) attested by issue body, issue term is no more than 1 month.
5. Notarized copy of business and storage rooms lease contract with addresses and areas indication signed by manager and accountant.
6. License of local executive power for alcoholic beverages trade location, issue term is no more than 1 month.
7. Notarized document copy of clearing transactions recorders’ registration (CTR).
8. Certificate from STI of storing places registration of alcoholic production wholesale parties (in the presence of storing places for strong drinks unconnected with retail network objects).
9. Notarized certificates copies of appropriate sanitary and fire-prevention room state; issue term is no more than 1 month.
10. Certificate from STI - to the effect that there are no debts to budget (form 10 – TPR); issue term is no more than 1 month.

For license receipt to sell pesticides and agrochemicals by
whole-sale and retail:
1. Notarized copy of state registration certificate of enterprise activity subject.
2. Notarized copy of entry certificate into ESEORU (statistic certificate).
3. Description.
4. Guarantee letter of wastes recycling.
5. Business regulations.
6. Proper or leased storehouse certified as appropriate activity category (retail sales outlets).
7. Leave for work with pesticides and agrochemicals of enterprise activity subject workers.

For receipt of building activity license:
1. Notarized copy of state registration certificate of enterprise activity subject.
2. Notarized copy of entry certificate into ESEORU (statistic certificate), it is necessary to have code in statistic certificate mentioned by CEAC: 45.21.1. – common building construction.
3. Declared list of works.
4. Professional structure (TEE (technical and engineering employers), workers).
5. Notarized copies of specialists’ diplomas.
6. Techniques and equipment list. Instrumentation equipment.
7. Metrological provision and tooling test.
8. List of normative provision which is necessary for building works.
9. Quality system according to Ukrainian state standard ISO of series 9000-2001.
10. Environmental protection according to Ukrainian state standard ISO of series 14000.
11. Certificate copy of value added taxpayer (VAT).
12. Labor protection regulations according to the Alteration Law of Ukraine of Labor protection.
13. Copies of welders’ certificates.
14. Commission of responsible person concerning labor protection.

For credit union registration:
1. Statute.
2. Application for state credit union registration.
3. Minutes of constituent assemblies, register of persons who took part in constituent assemblies.
4. Payment confirmation certificate of entrance and mandatory share fees by founders.
5. Certificate of authority composition with its education data.
6. Record publishing in mass media about state registration of credit union as financial institution.
